By-Laws

ARTICLE I MEMBERSHIP

 

Section 1 PURPOSE:

The purpose of the club is to promote, develop, organize, conduct and regulate golf activities for its members.

 

Section 2 ORGANIZATION:

The Club is and shall remain incorporated as a nonprofit under the laws of California and the United States.

 

Section 3 ELIGIBILITY:

Any male, 18 or older, may join as a regular member upon submitting an application and the applicable dues. The Board may establish other categories of members and set the manner and method for joining. Only regular members in good standing are eligible to vote and run for an elected office.

 

Section 4 FINES/SUSPENSION/EXPULSION:

The Board may fine, suspend or expel any member by majority vote after a due process investigation for rule violations or other misconduct and shall set the effective date for each. Any suspended or expelled member may be reinstated under the terms and conditions as decided by the Board.

 

Section 5 MEMBERSHIP DUES/FEES AND FINES:

The Board shall set or impose all appropriate dues, fees and fines. Annual dues are payable by the individual member’s annual renewal date. All other dues, fees and fines are payable as set by the Board. Failure to pay shall result in immediate suspension.

 

ARTICLE II MEETINGS

 

Section 1 GENERAL MEMBERSHIP MEETINGS

There will be at least one general membership meeting of the club per year. The Board shall determine the place, manner and date of all general meetings and give notice to the members. Robert’s Rules of Order shall control not covered by these By-Laws. All questions and decisions shall be by majority vote. Ties shall be decided by the presiding officer.

 

Section 2 BOARD MEETINGS

The Board shall meet as needed at the times places and in the manner as determined by the Board. Robert’s Rules of Order shall control not covered by these By-Laws. Board decisions shall be by majority vote. Ties shall be decided by the presiding officer. Any club member wishing to attend a Board meeting should contact a Board member.

 

Section 3 QUORUMS

A general membership meeting quorum shall consist of 25 regular members. A Board meeting quorum shall consist of 4 voting members.

 

ARTICLE III – OFFICERS

 

Section 1 ELECTED POSITIONS:

The elected Board Officers shall be President, Secretary, Treasurer, Membership Chairman, Tournament Chairman, Handicap/Rules/SCGA Representative and Media Chairman. These officers shall constitute the Board. A vacancy in any position shall be filled by the Board to finish the unfinished term. To run for President, a member must have served as a Board officer for at least one year.

 

Section 2 APPOINTED POSITIONS:

The President with the approval of the Board may appoint committees and positions as needed. These appointed positions are not eligible to vote on Board matters.

 

Section 3 TERMS OF OFFICE:

All elected officers shall serve annually from January 1–December 31. All appointed positions shall serve at the discretion of the Board.

 

Section 4 DUTIES:

Board: The Board shall conduct all business of the Club, approve all Club expenses, plan and manage all Club activities. The Board may suspend or remove after a due process investigation any officer for just and sufficient reason by majority vote. After a new Board is elected the outgoing Board shall meet for the purpose of discussing old business and new business plans for the Club.

 

President

The President shall:

Preside at Board and General Membership meetings,

Direct all activities of the Club,

Represent the Club in relations with the City of Downey, the Pro Shop, the Clubhouse, the Course Superintendent and all other clubs or organizations,

Schedule Board and General Membership meetings,

Write an article for the Club’s Newsletter,

Sign club checks in the absence of the Treasurer and

Perform any other duties normally associated with the president of an organization.

 

Secretary

The Secretary shall:

Record and transcribe the minutes of the Board and General Membership meetings,

Prepare the agenda for all meetings,

Prepare all Club correspondence and notice,

Maintain the records of the Club,

Sign club checks in the absence of the Treasurer and the President,

Preside over meetings in the absence of the President,

Perform any other duties as directed by the President or Board, and

Perform any other duties normally associated with the secretary of an organization.

 

Treasurer

The Treasurer shall:

Collect and deposit all Club funds in a safe place and appropriate manner,

Sign the Club checks and pay all Club bills as authorized by the Board,

Submit a financial report to the Board and if requested to the general membership,

Perform any other duties as directed by the President or Board, and

Perform any other duties normally associated with the treasurer of an organization.

 

Membership Chairman

The Membership Chairman shall:

Keep and maintain the Membership Roster,

Coordinate with the SCGA the Club Membership Roster, applications and deletions,

Maintain an electronic list (e.g. Constant Contact) for Club announcements and notices,

Maintain the records of the Club’s assigned weekend tee times verify the eligibility of each group member and coordinate with the group’s captains and the Pro Shop,

Coordinate with the Media Chairman a list of weekend substitute players,

Perform any other duties as directed by the President or Board, and

Perform any other duties normally associated with the membership chairman of an organization.

 

Media Chairman

The Media Chairman shall:

Collect, edit and publish announcements, notices, articles and photos for the Club’s Newsletter,

Coordinate with the Treasurer in billing the Newsletter advertisers,

Maintain the Club’s website,

Send out all Club announcements and notices,

Perform any other duties as directed by the President or Board, and

Perform any other duties normally associated with the media chairman of an organization.

 

Tournament Chairman

Tournament Chairman shall:

Schedule all Club tournaments in coordination with the Pro Shop and Course Superintendent,

Write an article, flyer, and entry form for the Club’s Newsletter,

Collect the tournament entries and verify eligibility,

Establish tournament foursomes, flights and tee times in coordination with the Pro Shop,

Publish the tournament tee times,

Create and distribute tournament scorecards and rules,

Establish tournament awards,

Collect tournament scorecards, verify scores and determine winners,

Publish tournament results to players, the Newsletter and on the website,

Perform any other duties as directed by the President or Board, and

Perform any other duties normally associated with a tournament chairman of an organization.

 

Handicap/Rules Chairman/SCGA Delegate

Handicap/Rules Chairman/SCGA Delegate shall:

Maintain members’ handicaps and rule on handicap adjustments or disputes in consultation with the Board,

Post tournament scores,

Head a Rules Committee which is appointed by the President with the approval of the Board,

Act as the liaison between the Club and the SCGA,

Inform members of changes to the Rules of Golf or the Handicap System,

Inform members of relevant information from the SCGA,

Coordinate with the Membership Chairman regarding each member’s information (such as correct addresses, phone numbers, emails addresses, GHIN numbers, etc,),

Write articles for the Club Newsletter,

Perform any other duties as directed by the President or Board, and

Perform any other duties normally associated with the handicap and/or rules chairman and/or SCGA delegate of an organization.

 

Section 5 PRIVILEGES

(a) Elected officers shall serve without pay but shall be entitled to annual paid membership, Board approved expense reimbursement, meeting meals, paid tournament fee and an annual Board Shirt during their term of office. All Board members who have served for at least ten years and all former presidents will have lifetime paid membership.

(b) Appointed Positions shall serve without pay but will have those privileges as approved by the Board.

 

ARTICLE IV - BOARD NOMINATIONS

AND

ELECTIONS

 

Section 1 NOMINATIONS

Any eligible Club member in good standing may nominate himself to run for election to a Board office by informing a Board member at least two weeks prior to the a scheduled election date.

 

Section 2 ELECTIONS

The Board shall give reasonable advance notice of any election. The Board shall determine the date and manner of elections and announce the results in the Club‘s Newsletter and on the website..

 

ARTICLE V - AMENDMENTS

 

These By-Laws may be amended by majority vote of the members at a general meeting after reasonable notice to members of the proposed amendment(s).
